TERMS:

The Fresh Express Exclusive Email Giveaway (the “Giveaway”) entry period commences at 15:01 p.m. Eastern Time on Thursday, March 14, 2024, and ends at 23:59 p.m. Eastern Time on Sunday, March 31, 2024 (the “Giveaway Entry Period”).

ELIGIBILITY:

This Giveaway is open to any legal resident of the fifty (50) United States, and the District of Columbia, who are 18 years or older as of date of entry. Entrants must be subscribers to www.freshexpress.com. Employees of the Fresh Express; Prize provider(s); any promotional companies or advertising agencies participating in the Giveaway and employees of their respective affiliates and subsidiaries; any persons involved in the creation, development, or implementation of this Giveaway; and any other persons or entities directly associated with this Giveaway and any members of their immediate families or households are ineligible to participate in the Giveaway. Entries for the Giveaway drawing must be received prior to the expiration of the Giveaway Entry Period. This Giveaway is void in Puerto Rico and the U.S. Virgin Islands and wherever prohibited or restricted by law, and is subject to all federal, state, and local laws and regulations. By submitting an entry form, entrants agree to abide by these Official Rules and all applicable federal, state, and local laws and regulations that govern sweepstakes.

PRIZE/VALUE:

One hundred (100) prize winners in total. Each one (1) Prize winner will receive one (1) prize consisting of the two (2) Fresh Express coupons. A total of two hundred (200) coupons, valued at $5.99 each (total value $1198) will be awarded.

The Prizes are not transferable or assignable or redeemable for cash or any other consideration, and no substitutions will be allowed except by Fresh Express, which reserves the right to substitute prizes of equal or greater value or nature if advertised prize is not available. The Prize winners are responsible for compliance with all applicable federal, state, and/or local laws and regulations, including, without limitation, the payment of all applicable taxes.

HOW TO ENTER:

You may enter the Giveaway by filling out a short form on Fresh Express website. https://www.freshexpress.com/promotions/email-exclusive

Normal Internet access and usage charges imposed by your online carrier apply. Incomplete or late entries will be disqualified. An entry will be deemed to have been made by the “authorized account holder” of the Instagram account, as applicable, utilized at the time the entry is made. For purposes herein, the “authorized account holder” refers to the person assigned by Instagram, as applicable, to an account. Where tagging is required, an entrant can send more than one entry, tagging a different “authorized account holder”. Any attempt by a person to tag another brand, company, fictional character, celebrity, anyone who is not a “real person” will result in disqualification. All entries must be deemed suitable by Fresh Express. Fresh Express is not responsible for transmission and/or computer error including errors or difficulties which may occur in connection with the administration of the Giveaway.

Fresh Express reserves the right, in its sole discretion, to disqualify entries that Fresh Express deems lewd or offensive. An entry that does not comply with entry guidelines will be deemed void and of no effect.

By submitting an entry, entrant automatically gives Fresh Express and its agents and assignees, full permission and authority to use, publish and display the submission, as well as entrant’s (and any other person included in the submission) name, and/or photograph or other likeness for advertising or other related purposes in any media whether now or hereafter known or developed without any compensation. Entrant automatically grants to Fresh Express the right to create derivative works from, modify, publish, edit, translate, distribute and display you’re the entry. 

By submitting an entry, entrant represents and warrants that entrant’s entry is wholly entrant’s original work, not previously published, and does not incorporate or include anything that is owned by any third party or would require the consent of any third party and the entry does not violate any copyright, trademark, publicity right, privacy right or any other right of any third party

Entrant agrees to indemnify, defend and hold harmless Fresh Express and each of its respective affiliates and subsidiaries, and their respective officers, directors, shareholders, employees and agents from any losses, damages, or expenses arising from or in connection with infringement, misappropriation or violation of any third party rights. 

RANDOM DRAWING/ODDS OF WINNING/WINNER:

The potential winners of the Giveaway will be selected in a random drawing, on or about April 2, 2024 from all eligible entries received. The Prize will be awarded and the winners will be notified via email on or around April 3, 2024.

Each entrant is responsible for the accuracy of the information included in his/her entry. The Prize drawing will be conducted by Fresh Express and shall be final and conclusive. If the Prize is not claimed within 5 days, Fresh Express may, in its sole discretion, award the Prize to an alternate winner selected at random from all eligible entries received. 

The name of the winners of the Giveaway will be available after April 3, 2024. To obtain the Prize the winners will be required to provide their mailing address, by replying to the original email from Fresh Express, notifying about the win. The odds of winning depends upon the number of eligible entries received during the Giveaway Entry Period.

CONDITIONS:

By participating in this Giveaway, entrants agree to be bound by these Official Rules and the decisions of Fresh Express, which are final in all matters relating to this Giveaway, and acknowledge compliance with these Official Rules. By entering the Giveaway, entrant agrees to the Privacy Policies and Terms of Use, of Fresh Express which are available at www.freshexpress.com. These Privacy Policies and Terms of Use apply to the submission of entries pursuant to these Official Rules. 

By participating in this Giveaway, each entrant hereby agrees to Fresh Express’s collection and usage of the entrant’s personal information.

Fresh Express is in no way liable for any damage, loss, or injury relating to or resulting from computer malfunctions, misdirected or incomplete entries, or acceptance and use of the Prize. Fresh Express and its agents shall have no liability or responsibility for injuries, damages or liabilities caused or claimed to be caused by participation in the Giveaway or the use or misuse of a prize. Fresh Express reserves the right, in its sole discretion, to cancel, modify or suspend the Giveaway should virus, bugs, or other causes beyond the control of Fresh Express corrupt the administration, security, fairness, integrity or proper play of the Giveaway without liability and award the Prize from all eligible entries received prior to cancellation or suspension.

By entering this Giveaway, each entrant hereby voluntarily and irrevocably releases, holds harmless and agrees not to institute any claim against Fresh Express or any of their affiliates and subsidiaries, and their respective officers, directors, shareholders, employees and agents from any losses, damages, or expenses from any and all injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly, (1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; and/or (2) participation in the Giveaway or any prize-related activities.

Each entrant hereby forever waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, arising out of or in any way related to the Giveaway.

By accepting the Prize, the winners grant Fresh Express permission to use their names and likeness for advertising and promotional purposes without any additional compensation (except where prohibited by law). By entering the Giveaway, entrants shall be deemed to have agreed to have their entry information made available to the Fresh Express. The Giveaway is subject to these Official Rules. By entering the Giveaway, entrants and the winner agree to waive any right to claim any ambiguity, inequity or error in the Official Rules of the Giveaway, and/or of the Prize itself, and agree to be bound by these Official Rules and by all decisions of, and interpretations of these Official Rules by Fresh Express, which in all respects shall be final and binding.

THE FLORIDA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE GIVEAWAY AND THE LAWS OF THE STATE OF FLORIDA, WITHOUT REGARD TO CONFLICTS OF LAWS PRINCIPLES, SHALL GOVERN THE GIVEAWAY. ENTRANTS WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
